1. Acceptance of Terms
By accessing or using the Tolani Supply Group ("TSG") platform, APIs, or related services, you agree to be bound by these Terms of Service. If you do not agree, do not use the platform.
2. Services
TSG provides a supply-chain control-tower platform for procurement records, vendor review, order execution, inventory visibility, compliance packet coordination, and corridor review. Third-party logistics partners may support execution where applicable.
3. Account Responsibilities
- You must provide accurate and complete registration information.
- You are responsible for maintaining the security of your account credentials.
- You must not share API keys or allow unauthorized access to your account.
- You agree to notify us immediately of any unauthorized use.
4. Subscription and Billing
Paid tiers are billed monthly, annually, or by managed procurement program as selected. You may cancel according to the terms of your order form or platform plan.
5. Acceptable Use
You agree not to:
- Use the platform for any unlawful purpose or to facilitate illegal trade.
- Attempt to reverse-engineer, decompile, or disassemble any part of the platform.
- Interfere with the platform's operation or security mechanisms.
- Exceed rate limits or abuse API access in ways that degrade service for others.
6. Intellectual Property
All content, code, trademarks, and intellectual property on the TSG platform are owned by Tolani Supply Group unless otherwise stated. You retain ownership of data you upload but grant us a license to process it for service delivery.
7. Limitation of Liability
TSG's liability is limited to the fees paid by you in the 12 months preceding the claim. We are not liable for indirect, consequential, or punitive damages, including lost profits, sourcing delays, shipment delays, or decisions made by third-party carriers, suppliers, customs authorities, or partner operators.
8. Governing Law
These terms are governed by the laws of the Republic of Panama. Any disputes shall be resolved in the courts of Panama City, Panama.
